TERMS AND CONDITIONS OF USE

1. Agreement to Terms These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Prospera Ventures, LLC, d/b/a Prospera Automations, a Washington Limited Liability Company ("Company," "we," "us," or "our"). By accessing www.prosperaautomations.com (the "Site") or subscribing to our AI automation services (the "Service"), you agree to be bound by these Terms and our Privacy Policy.

2. The Service & AI Disclaimer

Nature of Service: We provide a platform integrating Artificial Intelligence for voice agents, email automation, and content generation.

No Professional Advice: The Service is designed for productivity and informational purposes only. It is not a substitute for professional legal, medical, financial, or engineering advice.

AI Accuracy ("Hallucinations"): You acknowledge that Artificial Intelligence systems are probabilistic and may generate output that is factually incorrect, offensive, or biased. You are solely responsible for verifying the accuracy of all AI-generated Output before acting on it, publishing it, or relying upon it. The Company disclaims all liability for errors, omissions, or "hallucinations" in the Output.

3. Compliance & User Responsibilities (Strict Liability)

You agree that you are the "initiator" of all communications sent through our Service. You bear sole legal responsibility for complying with all applicable laws, including but not limited to:

Voice Recording (Washington RCW 9.73.030): You acknowledge that Washington State and other jurisdictions require Two-Party Consent for call recording. You warrant that your AI Voice Agents will strictly announce that calls are being recorded or monitored by an AI at the beginning of every interaction.

Telemarketing (TCPA & Mini-TCPA): You shall not use the Service to make outbound calls or texts to any person without their prior express written consent, or to any number listed on the National Do Not Call Registry.

Email Marketing (CAN-SPAM & WA CEMA): You shall not use misleading subject lines or false headers. Every commercial email must include your valid physical postal address and a functioning opt-out link.

4. Intellectual Property

Client Data: You retain ownership of all data, text, and prompts you input into the Service ("Client Data"). You grant us a worldwide, non-exclusive, royalty-free license to process Client Data solely to provide the Service and, where anonymized, to improve our systems.

AI Output: Subject to your compliance with these Terms and payment of fees, we assign to you all right, title, and interest in the AI Output generated specifically for you.

Platform Rights: Prospera Ventures, LLC retains all rights to the underlying software, algorithms, workflows, templates, and pre-configured AI prompts.

5. Subscription, Fees, and Cancellation

Auto-Renewal: Subscriptions are billed in advance and renew automatically on a monthly or annual basis unless cancelled at least 24 hours prior to the renewal date.

No Refunds: All fees are non-refundable. We do not offer pro-rated refunds for partial usage periods.

Chargebacks: Unjustified credit card chargebacks will result in immediate termination of service and a permanent ban.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROSPERA VENTURES, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Prospera Ventures, LLC, its officers, directors, and employees from any claims, fines (including FCC/FTC fines), damages, or expenses (including legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any law (specifically TCPA, CAN-SPAM, or Washington CEMA).

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration in King County, Washington, except for claims regarding intellectual property theft or non-payment of fees, which may be brought in court.
